These Terms of Use (the “Terms”) set out the conditions under which the website operated by Schoole Inc. (“we”, “us” or “the Company”) and the tools and applications we provide to our clients (together, the “Service”) may be used. Any person who uses the Service (a “User”) is deemed to have agreed to these Terms. This document is an English translation provided for convenience. In the event of any inconsistency, the Japanese version prevails.
01Application
- These Terms apply to all relationships between the Company and the User in connection with the use of the Service.
- Individual consulting and development engagements are governed primarily by the service agreement or other individual contract concluded separately between the Company and the User. These Terms supplement any such individual contract.
02Scope of the Service
The Company provides the following functions through the Service.
- Provision of information about the Company and its business
- Receipt of enquiries
- Obtaining the User’s data through the APIs of external services, based on the User’s authorisation, and providing it in aggregated, analysed or reported form
- Carrying out configuration changes or registration operations on external services as instructed by the User, based on the User’s authorisation
Any connection to an external service is conditional upon the User’s explicit authorisation (for example through OAuth). The User may revoke that authorisation at any time from the relevant administration console.
03User Responsibilities
- The User uses the Service at their own responsibility.
- The User shall comply with the terms and policies of any external service to which the Service is connected.
- The User warrants that it holds the rights necessary for the Company to handle the data it provides for the purpose of the Service.
- The User shall not disclose or lend its authentication credentials to any third party.
04Prohibited Conduct
In using the Service, the User shall not engage in any of the following.
- Conduct that violates laws, regulations or public order and morals
- Conduct connected with criminal activity
- Conduct that infringes the intellectual property, reputation, privacy or other rights or interests of the Company, other Users or third parties
- Conduct that interferes with the operation of the Service or places an excessive load on servers or networks
- Disclosing or providing information obtained through the Service to third parties without the Company’s prior written consent
- Copying, modifying, reverse engineering or otherwise analysing the Service
- Any other conduct that the Company reasonably determines to be inappropriate
05Intellectual Property
Copyright and all other intellectual property rights in the Service and in the programs, text, images, designs and other information comprising it belong to the Company or to the rightful owner. The User shall not use them without the Company’s prior written consent.
Data provided to the Company by the User, and the rights in that data, remain with the User. The Company handles it solely to the extent necessary to provide the Service.
06Confidentiality
Each of the Company and the User shall not disclose to any third party, without the prior written consent of the other party, information disclosed by the other party in connection with the Service that is designated as confidential or that is confidential by its nature, except where disclosure is required by law.
07Changes, Suspension and Termination of the Service
- The Company may change the content of the Service, or cease providing it, without prior notice to the User.
- The Company may temporarily suspend all or part of the Service for maintenance, in the event of a failure, on a change to the specification of an external service, or for other unavoidable reasons.
- Where part of the Service becomes unavailable because of a change of specification, a restriction or a suspension of access rights by the provider of an external service, the Company bears no liability for that unavailability.
08Disclaimer
- The Company makes no warranty, express or implied, as to the accuracy, completeness or usefulness of information or analysis provided through the Service.
- Proposals and analyses provided by the Service are intended to assist the User’s decision-making; responsibility for whether to adopt them and for the results rests with the User.
- The Company is not liable for damage incurred by the User in connection with the use of the Service, except where caused by the Company’s wilful misconduct or gross negligence.
- Where the Company does bear liability for damages, that liability is limited to the amount of consideration received by the Company from the User, and does not extend to lost profits or other indirect damage.
09Handling of Personal Information
Personal information obtained through the use of the Service, and data entrusted to us by the User, are handled in accordance with our separately published Privacy Policy.
10Amendment of These Terms
The Company may amend these Terms where it deems necessary, without notice to the User. The amended Terms take effect from the time they are published on this page.
11Governing Law and Jurisdiction
- These Terms are governed by and construed in accordance with the laws of Japan.
- The Tokyo District Court shall have exclusive jurisdiction in the first instance over any dispute arising between the Company and the User in relation to the Service.
